TERMS AND CONDITIONS

These Terms and Conditions govern access to and use of the VorteX Global Solutions website, mobile applications, technology platform, and related services.

VorteX Global Solutions, LLC may be referred to in these Terms and Conditions as "VorteX Global Solutions,” "VorteX,” "Company,” "we,” "our,” or "us.”

The website, mobile applications, software, technology, and related services may collectively be referred to as the "Platform.”

By creating an account, accessing the Platform, requesting a ride, accepting a trip, or otherwise using the Platform, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.

A. DRIVER AGREEMENT

Independent Contractor Agreement

This Driver Agreement is entered into between VorteX Global Solutions, LLC and the independent contractor driver using the Platform, referred to as the "Driver.”

1. Independent Contractor Status

The Driver acknowledges and agrees that the Driver is an independent contractor and is not an employee, agent, partner, joint venturer, or representative of VorteX Global Solutions.

The Driver is responsible for:

• Determining when and whether to use the Platform
• Selecting which ride requests to accept
• Maintaining the Driver’s vehicle
• Paying all fuel, maintenance, repair, insurance, licensing, and operating expenses
• Reporting and paying all applicable federal, state, and local taxes
• Maintaining any permits, registrations, licenses, or approvals required by law
• Providing the Driver’s own equipment and supplies

Nothing in this Agreement creates an employment relationship between the Driver and VorteX Global Solutions.

2. Driver Eligibility and Responsibilities

The Driver agrees to:

• Maintain a valid driver’s license
• Maintain all legally required automobile insurance
• Maintain accurate vehicle registration and inspection records
• Maintain a clean, safe, properly insured, and operable vehicle
• Operate the vehicle in compliance with applicable laws and regulations
• Follow all Platform safety standards and Driver policies
• Treat Riders, passengers, clients, and members of the public respectfully and professionally
• Refrain from harassment, discrimination, threats, violence, retaliation, or unsafe conduct
• Maintain accurate Driver and vehicle information within the Platform
• Immediately report any suspension, expiration, revocation, or restriction affecting the Driver’s license, insurance, or vehicle
• Immediately report accidents, injuries, safety concerns, complaints, or incidents related to a ride
• Protect Rider information and use it only for purposes of completing an authorized trip

The Driver may not permit another person to use the Driver’s account or perform trips under the Driver’s identity.

3. Ride Acceptance

Drivers may choose whether to accept available ride requests, subject to Platform policies, account standing, scheduling commitments, and service requirements applicable to rides they accept.

Once a Driver accepts a ride, the Driver is expected to complete the ride professionally and in accordance with the trip details, unless cancellation is reasonably necessary because of safety concerns, emergencies, inaccurate information, or other permitted circumstances.

4. Driver Earnings and Payments

VorteX Global Solutions may:

• Collect payments from Riders or clients
• Deduct applicable Platform fees, processing fees, adjustments, refunds, tolls, chargebacks, or other authorized amounts
• Pay the remaining Driver earnings according to the Platform’s payment schedule
• Temporarily hold or adjust payments when investigating fraud, complaints, payment disputes, or policy violations

The Driver is solely responsible for tax reporting and payment obligations associated with Driver earnings.

VorteX Global Solutions does not guarantee any minimum number of rides, earnings, hours, customers, or business opportunities.

5. Safety Requirements

The Driver shall:

• Use the VorteX Global Solutions Driver application as required while providing services
• Follow all traffic laws and safe-driving practices
• Refrain from texting, typing, or using a handheld device while driving
• Never operate a vehicle while impaired by alcohol, illegal drugs, prescription medication, fatigue, or any other condition that may affect safe operation
• Require passengers to follow applicable seat-belt and safety laws
• Refuse or discontinue a ride when reasonably necessary to protect safety
• Report unsafe, threatening, fraudulent, or unlawful Rider behavior
• Cooperate with reasonable safety investigations

6. Background Checks and Verification

VorteX Global Solutions may require identity verification, driver’s license verification, motor vehicle record reviews, criminal history reviews, insurance verification, vehicle inspections, employment history, professional driving experience, or other eligibility checks.

The Driver authorizes VorteX Global Solutions and its service providers to conduct such reviews as permitted by law.

Approval to use the Platform does not guarantee continued access. VorteX Global Solutions may require additional or recurring screenings.

7. Insurance

The Driver must maintain automobile insurance that satisfies all applicable legal requirements and any additional Platform requirements.

The Driver is responsible for confirming that the Driver’s insurance policy permits the commercial, business, rideshare, chauffeur, livery, or transportation-related use of the vehicle, as applicable.

VorteX Global Solutions does not guarantee that a Driver’s personal automobile policy will provide coverage for activities performed through the Platform.

8. Vehicle Requirements

The Driver is responsible for ensuring that the vehicle:

• Is legally registered
• Is properly insured
• Passes any required inspection
• Is mechanically safe
• Is clean and presentable
• Matches the information shown in the Driver account
• Meets all applicable Platform requirements
• Contains all required safety equipment

VorteX Global Solutions may require vehicle photographs, documents, inspections, or additional proof of compliance.

9. Account Suspension and Termination

Either party may terminate the Driver Agreement at any time, subject to outstanding legal, financial, or contractual obligations.

VorteX Global Solutions may suspend, restrict, deactivate, or terminate a Driver account for reasons including:

• Safety concerns
• Fraud or suspected fraud
• False or inaccurate information
• Expired or invalid documentation
• Insurance lapses
• Criminal conduct
• Traffic violations
• Harassment or discrimination
• Poor service
• Rider complaints
• Unauthorized account sharing
• Violation of these Terms or Platform policies
• Conduct that may harm Riders, the public, the Platform, or the reputation of VorteX Global Solutions

10. Driver Liability

To the fullest extent permitted by law, the Driver is responsible for the Driver’s conduct, vehicle operation, services, accidents, citations, damages, losses, injuries, insurance obligations, and legal violations.

The Driver agrees to cooperate with investigations involving accidents, complaints, safety incidents, payment disputes, or legal requests.

B. RIDER AGREEMENT

By creating a Rider account, requesting a ride, entering a vehicle, or otherwise using the Platform, the Rider agrees to the following terms.

1. Nature of the Platform

VorteX Global Solutions operates a technology platform that may connect Riders and clients with independent Drivers or third-party transportation providers.

Unless expressly stated otherwise in a separate written agreement, VorteX Global Solutions does not directly provide transportation services and is not a motor carrier, taxi company, limousine company, chauffeur employer, or transportation provider.

Drivers are independent contractors or independent third-party service providers and are not employees of VorteX Global Solutions.

2. Account Information

Riders must provide accurate, complete, and current account, contact, and payment information.

Riders are responsible for:

• Protecting account login information
• Preventing unauthorized account access
• Reviewing trip information before confirming a request
• Promptly reporting suspected fraud or unauthorized use
• Ensuring that passengers using the Rider’s account comply with these Terms

3. Payment Authorization

The Rider authorizes VorteX Global Solutions and its payment processors to charge the Rider’s selected payment method for:

• Ride fares
• Hourly charges
• Waiting time
• Additional stops
• Tolls
• Parking
• Airport fees
• Taxes
• Gratuities
• Cancellation charges
• Cleaning fees
• Damage fees
• Processing fees
• Other disclosed or authorized charges

The Rider is responsible for maintaining a valid payment method.

4. Rider Conduct

The Rider agrees to:

• Treat Drivers and other passengers respectfully
• Avoid harassment, discrimination, threats, violence, or abusive behavior
• Refrain from damaging or excessively soiling a vehicle
• Follow applicable laws and safety requirements
• Wear a seat belt where required
• Avoid distracting the Driver
• Refrain from requesting illegal, unsafe, or unauthorized activity
• Provide accurate pickup, destination, passenger, and trip information
• Follow reasonable Driver safety instructions

The Rider is responsible for the conduct of passengers traveling under the Rider’s account.

5. Prohibited Items and Activities

Riders may not use the Platform or a Driver’s vehicle to transport illegal substances, unlawful weapons, hazardous materials, stolen property, or other prohibited items.

Smoking, vaping, consuming illegal drugs, threatening behavior, and unlawful conduct are prohibited.

6. Ride Safety

The Rider understands that all travel and transportation involve inherent risks.

The Platform may provide GPS tracking, trip information, communications, and other safety-related features. These features do not guarantee safety, prevent all incidents, or ensure a particular result.

Riders should verify the Driver, vehicle, and license plate information before entering a vehicle.

7. Cancellations and No-Shows

Cancellation charges may apply when a Rider cancels after the applicable cancellation period, fails to appear, provides an incorrect pickup location, or causes the Driver to wait beyond the permitted waiting period.

Applicable cancellation terms may be disclosed during booking or within separate Platform policies.

8. Account Suspension and Termination

VorteX Global Solutions may suspend, restrict, or terminate Rider access for reasons including:

• Fraud
• Payment disputes or chargebacks
• Harassment
• Discrimination
• Threats or violence
• Property damage
• Safety violations
• Repeated cancellations
• False information
• Misuse of the Platform
• Violations of these Terms or related policies

C. LIABILITY WAIVER AND LIMITATION OF LIABILITY

To the fullest extent permitted by law, users acknowledge and agree that:

• Drivers are independent contractors or independent third-party providers
• VorteX Global Solutions does not control every action, decision, or behavior of a Driver or Rider
• Transportation involves risks that cannot be completely eliminated
• VorteX Global Solutions cannot guarantee the conduct, availability, reliability, qualifications, or performance of any Driver, Rider, or third-party provider
• GPS tracking, screenings, verification procedures, and safety features do not guarantee that an incident will not occur

To the fullest extent permitted by law, VorteX Global Solutions shall not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages arising from the use of the Platform.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

D. SAFETY POLICY

VorteX Global Solutions is committed to maintaining reasonable safety standards for Platform users.

1. Driver Verification

Verification measures may include:

• Driver’s license verification
• Identity verification
• Motor vehicle record checks
• Criminal history reviews
• Insurance validation
• Vehicle registration review
• Vehicle inspection or documentation
• Professional experience review
• Periodic rescreening

2. Trip Tracking

Trips may be tracked through GPS or other location technology for operational, safety, support, payment, and accountability purposes.

GPS information may not always be accurate or available due to device settings, wireless coverage, hardware, software, or third-party service limitations.

3. Rider Safety Tools

Safety features may include:

• In-app messaging
• Limited or anonymized contact information
• Driver and vehicle details
• Trip status information
• Location tracking
• Customer support
• Incident reporting tools

4. Zero-Tolerance Rules

VorteX Global Solutions prohibits:

• Harassment
• Discrimination
• Violence
• Threats
• Sexual misconduct
• Retaliation
• Intoxicated or impaired driving
• Drug-related activity
• Reckless driving
• Fraudulent account use
• Possession of illegal items
• Conduct that creates an unreasonable safety risk

5. Incident Reporting

Safety incidents, complaints, accidents, payment disputes, misconduct, and other concerns may be reported through the Platform or by email.

Users should contact emergency services immediately when facing an emergency or immediate threat.

E. COOKIE POLICY

VorteX Global Solutions may use cookies, analytics tools, software development kits, pixels, and similar technologies for purposes including:

• Platform functionality
• Account security
• Website and application performance
• Analytics
• Fraud prevention
• User preferences
• Service improvement
• Marketing and communications

Users may be able to disable or manage cookies through browser or device settings. Disabling cookies may affect certain Platform features.

F. REFUND POLICY

Refund requests may be considered for circumstances including:

• Duplicate charges
• Verified billing errors
• Technical failures
• Rides that did not occur
• Verified major service issues
• Unauthorized transactions
• Charges resulting from a confirmed Platform error

Cancellation fees, waiting-time charges, tolls, parking charges, completed-trip fares, and other properly assessed charges may be nonrefundable.

Refund eligibility is determined based on the circumstances, Platform records, payment information, Driver information, and applicable law.

Submitting a refund request does not guarantee that a refund will be issued.

G. INSURANCE DISCLOSURE

VorteX Global Solutions does not guarantee or represent that it provides primary automobile insurance for Drivers, Riders, vehicles, or trips.

Drivers must maintain all insurance required by law and by Platform policies.

Drivers are responsible for confirming that their insurance permits the type of transportation services they perform.

To the fullest extent permitted by law, VorteX Global Solutions is not responsible for:

• The condition of a Driver’s vehicle
• A Driver’s insurance lapse
• A Driver’s failure to maintain proper coverage
• Denial of an insurance claim
• Coverage exclusions
• Vehicle damage
• Personal property loss
• Injuries or damages arising during transportation

Any insurance information displayed or collected by the Platform does not constitute a guarantee that coverage is valid, sufficient, or applicable to a particular claim.

H. THIRD-PARTY SERVICES

The Platform may use or connect to third-party services, including:

• Payment processors
• Mapping providers
• Background-screening providers
• Identity-verification providers
• Communication providers
• Insurance providers
• Analytics services
• Cloud hosting providers

VorteX Global Solutions is not responsible for third-party websites, applications, products, services, privacy practices, security practices, or availability.

I. ACCOUNT SECURITY

Users are responsible for protecting usernames, passwords, verification codes, and account access.

Users must immediately notify VorteX Global Solutions of suspected unauthorized access, identity theft, fraud, or misuse.

VorteX Global Solutions may require identity verification before restoring access, changing account information, or processing certain requests.

J. PROHIBITED USE

Users may not:

• Use the Platform for illegal activity
• Create false or misleading accounts
• Impersonate another person
• Share accounts without authorization
• Interfere with the Platform’s operation
• Attempt to access restricted systems or data
• Introduce malicious software
• Circumvent security features
• Manipulate payments, fares, ratings, or trip records
• Scrape, copy, or collect Platform data without authorization
• Use the Platform to harass, threaten, or harm another person
• Violate another person’s privacy or intellectual property rights

K. INTELLECTUAL PROPERTY NOTICE

All trademarks, logos, trade names, service marks, application designs, software, graphics, text, content, databases, technology, and other materials associated with VorteX Global Solutions are owned by VorteX Global Solutions, LLC or its licensors.

Users may not, without prior written authorization:

• Copy
• Modify
• Reproduce
• Publish
• Distribute
• Sell
• License
• Reverse engineer
• Decompile
• Disassemble
• Create derivative works from
• Commercially exploit

any portion of the Platform or its content.

The VorteX Global Solutions name, logo, shield, branding, and related marks may not be used without written permission.

L. COMMUNITY GUIDELINES

All users agree to:

• Treat others with professionalism and respect
• Follow applicable laws and safety rules
• Avoid harassment, threats, abuse, retaliation, or discriminatory conduct
• Protect personal and confidential information
• Avoid fraudulent or misleading activity
• Cooperate with reasonable safety investigations
• Report serious incidents promptly
• Avoid conduct that may damage the Platform, a vehicle, another person, or the reputation of VorteX Global Solutions

Drivers must keep vehicles safe, clean, properly maintained, and suitable for professional service.

Riders must avoid damaging vehicles and must follow reasonable safety instructions.

M. SMS CONTENT POLICY

By creating a VorteX Global Solutions Rider or Driver account, entering a telephone number, requesting services, or using the Platform, you consent to receive transactional SMS text messages from VorteX Global Solutions.

VorteX Global Solutions may send SMS messages for purposes including:

• Account verification codes
• One-time passwords
• Ride request confirmations
• Ride request updates
• Driver assignment notifications
• Driver pickup notifications
• Driver arrival notifications
• Trip status updates
• Payment and receipt notifications
• Safety-related notices
• Customer support communications
• Important account or service notifications

SMS messages are service-related and are used to help Riders and Drivers access and use the Platform safely and properly.

Message frequency may vary depending on account activity and Platform use. Message and data rates may apply.

Consent to receive promotional SMS messages is not a condition of purchasing goods or services.

Users may opt out of nonessential SMS messages by replying STOP. Users may request assistance by replying HELP.

Following an opt-out request, VorteX Global Solutions may send a final message confirming that the opt-out request has been processed.

Mobile telephone information, SMS consent records, and text-message opt-in information will not be sold or shared with third parties for their independent marketing or promotional purposes.

N. CHANGES TO THESE TERMS

VorteX Global Solutions may update these Terms and Conditions periodically.

Updated Terms may be posted on the website, within the Platform, or communicated through other reasonable methods.

Continued use of the Platform after revised Terms become effective constitutes acceptance of the updated Terms.

O. GOVERNING LAW

These Terms and Conditions shall be governed by the laws of the State of Texas, without regard to conflict-of-law principles, unless applicable law requires otherwise.

Any legal action arising from these Terms or the Platform shall be brought in a court of competent jurisdiction in the county where VorteX Global Solutions, LLC maintains its principal place of business, unless otherwise required by law or agreed in writing.

P. SEVERABILITY

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.

Q. ENTIRE AGREEMENT

These Terms and Conditions, together with the Privacy Policy, Driver policies, Rider policies, cancellation policies, and any applicable written service agreements, constitute the agreement governing use of the Platform.
